These Terms and Conditions of Use ("Terms") govern your access to and use of the website located at www.psychready.ai ("Website") and the services offered by Psych Ready Pty Ltd. By accessing the Website or using any of our services, you agree to be bound by these Terms.
1Acceptance of Terms
- By accessing and using our Website, you accept and agree to be bound by these Terms and any policies referenced herein, including our Privacy Policy.
- If you do not agree to these Terms, you must not access or use the Website.
- We reserve the right to modify these Terms at any time. Your continued use of the Website after any changes constitutes your acceptance of the new Terms.
2About the Service
Psych Ready provides an AI-powered clinical simulation platform designed for psychology, counselling, and allied health students and professionals ("Services").
- The Services are intended for educational and professional development purposes only.
- All simulated patient scenarios use fictional case studies and do not represent real patients or clinical situations.
- The Services do not constitute medical or psychological advice and should not be used as a substitute for qualified clinical supervision.
3Definitions
- "Member"means a registered user of the Website with an active Subscription.
- "Services"means the AI-powered clinical simulation platform and related services offered by Psych Ready Pty Ltd.
- "Subscription"means the paid or institution-provided access to the Services for the Subscription Period.
- "Subscription Fee"means the fee (excluding any applicable taxes) payable by you for access to the Services.
- "Subscription Period"means the term of your Subscription as set out at the time of registration.
- "Website"means www.psychready.ai and any associated platforms or applications.
4Collection Notice
- We collect personal information about you in order to provide the Services and for purposes otherwise set out in our Privacy Policy.
- We may disclose that information to third parties that help us deliver our services or as required by law.
- Our Privacy Policy explains how we store and use your personal information, and how you can access, correct, or complain about its handling.
- By providing your personal information to us, you consent to the collection, use, storage and disclosure of that information as described in the Privacy Policy and these Terms.
5Accuracy, Completeness and Timeliness of Information
- The information on our Website is not comprehensive and is intended to provide a summary of the subject matter covered.
- While we use all reasonable attempts to ensure the accuracy and completeness of the information on our Website, to the extent permitted by law, we make no warranty regarding the information on this Website.
- We are not liable to you or anyone else if interference with or damage to your computer systems occurs in connection with the use of this Website or a linked website.
6Registration
- You must be a registered member to access the Services. To become a registered member, you must complete the registration process by providing us with current, complete and accurate information.
- You are responsible for maintaining the confidentiality of your password and account details and are fully responsible for all activities that occur under your account.
- We collect personal information from you when you register, including but not limited to name, email address, professional registration details, educational institution affiliation, payment information, usage data, and learning progress records.
- You warrant that any information you give to Psych Ready Pty Ltd in the course of completing the registration process will always be accurate, correct and up to date.
- You may not use the Services if you are not of legal age to form a binding contract with Psych Ready Pty Ltd, or if you are a person barred from receiving the Services under the laws of Australia or other countries.
7Payments
- The Subscription Fee may be paid by all payment methods available on the Website, and may change from time to time.
- Payments made in the course of your use of Psych Ready may be made using third-party applications and services not owned or controlled by Psych Ready Pty Ltd. Psych Ready Pty Ltd will not be liable for any losses or damage arising from the operations of third-party payment applications.
- Where a request for the payment of the Subscription Fee is returned or denied for whatever reason, you are liable for any costs, including banking fees and charges, associated with the Subscription Fee.
- Psych Ready Pty Ltd can vary the Subscription Fee at any time and that the varied Subscription Fee will come into effect following the conclusion of the existing Subscription.
8Refund Policy
- Psych Ready Pty Ltd offers refunds in accordance with the Australian Consumer Law and on the terms set out in these terms and conditions.
- Psych Ready Pty Ltd will only provide you with a refund of the Subscription Fee in the event they are unable to continue to provide the Services or if the manager of Psych Ready Pty Ltd makes a decision, at its absolute discretion, that it is reasonable to do so under the circumstances. Where this occurs, the refund will be in the proportional amount of the Subscription Fee that remains unused by the Member.
9Copyright and Intellectual Property
- The Website, the Services and all of the related products of Psych Ready Pty Ltd are subject to copyright. The material on the Website is protected by copyright under the laws of Australia and through international treaties.
- All trademarks, service marks and trade names are owned, registered and/or licensed by Psych Ready Pty Ltd, who grants to you a worldwide, non-exclusive, royalty-free, revocable license whilst you are a User to: (i) use the Website pursuant to the Terms; (ii) copy and store the Website in your device's cache memory; and (iii) print pages from the Website for your own personal and non-commercial use.
- Psych Ready Pty Ltd does not grant you any other rights whatsoever in relation to the Website or the Services. All other rights are expressly reserved by Psych Ready Pty Ltd.
- You may not, without the prior written permission of Psych Ready Pty Ltd: broadcast, republish, upload to a third party, transmit, post, distribute, show or play in public, adapt or change in any way the Services for any purpose, unless otherwise provided by these Terms.
10General Disclaimer
- Nothing in the Terms limits or excludes any guarantees, warranties, representations or conditions implied or imposed by law, including the Australian Consumer Law, which by law may not be limited or excluded.
- Subject to this clause, and to the extent permitted by law: all terms, guarantees, warranties, representations or conditions which are not expressly stated in the Terms are excluded; and Psych Ready Pty Ltd will not be liable for any special, indirect or consequential loss or damage, loss of profit or opportunity, or damage to goodwill.
- Use of the Website and the Services is at your own risk. Everything on the Website and the Services is provided to you "as is" and "as available" without warranty or condition of any kind.
11Limitation of Liability
- Psych Ready Pty Ltd's total liability arising out of or in connection with the Services or these Terms will not exceed the resupply of the Services to you.
- You expressly understand and agree that Psych Ready Pty Ltd, its affiliates, employees, agents, contributors and licensors shall not be liable to you for any direct, indirect, incidental, special consequential or exemplary damages which may be incurred by you, however caused and under any theory of liability.
12Termination of Contract
- The Terms will continue to apply until terminated by either you or by Psych Ready Pty Ltd.
- If you want to terminate the Terms, you may do so by: (i) not renewing the Subscription prior to the end of the Subscription Period; (ii) providing Psych Ready Pty Ltd with written notice of your intention to terminate; and (iii) closing your accounts for all of the services.
- Psych Ready Pty Ltd may at any time terminate the Terms with you if: (i) you do not renew the Subscription at the end of the Subscription Period; (ii) you have breached any provision of the Terms; (iii) Psych Ready Pty Ltd is required to do so by law; or (iv) the provision of the Services is no longer commercially viable.
13Indemnity
You agree to indemnify Psych Ready Pty Ltd, its affiliates, employees, agents, contributors, third party content providers and licensors from and against:
- all actions, suits, claims, demands, liabilities, costs, expenses, loss and damage (including legal fees on a full indemnity basis) incurred, suffered or arising out of or in connection with your content;
- any direct or indirect consequences of you accessing, using or transacting on the Website or attempts to do so; and/or
- any breach of the Terms.
14Dispute Resolution
If a dispute arises out of or relates to the Terms, either party may not commence any Tribunal or Court proceedings unless the following steps have been complied with:
- A party claiming a dispute must give written notice to the other party detailing the nature of the dispute, the desired outcome and the action required to settle the dispute.
- Within 28 days of the notice, the parties must endeavour in good faith to resolve the dispute expeditiously by negotiation.
- If the dispute has not been resolved after 28 days, the parties must agree upon selection of a mediator or request one be appointed by the Resolution Institute. Mediation will be held in Sydney, Australia.
- All communications concerning negotiations are confidential and must be treated as 'without prejudice' negotiations.
- If 2 months have elapsed after the start of a mediation and the dispute has not been resolved, either party may ask the mediator to terminate the mediation.
15Venue and Jurisdiction
The Services offered by Psych Ready Pty Ltd are intended to be viewed by residents of Australia. In the event of any dispute arising out of or in relation to the Website, you agree that the exclusive venue for resolving any dispute shall be in the courts of New South Wales.
16Governing Law
The Terms are governed by the laws of New South Wales, Australia. Any dispute or claim arising out of or in any way relating to the Terms shall be governed, interpreted and construed under the laws of New South Wales without reference to conflict of law principles.
17Severance
If any part of these Terms is found to be void or unenforceable by a Court of competent jurisdiction, that part shall be severed and the rest of the Terms shall remain in force.
